ARTICLE I -- OBJECTIVES AND PURPOSES

1. The objectives of the Federation of Motion Picture Producers in Asia-Pacific shall be to promote the interests of the motion picture industry in the countries or territories of Asia-Pacific; to elevate the artistic standard of motion pictures; and to ensure the dissemination and interchange of culture in the area through motion pictures, thereby contributing to the development of friendly relations among the participating nations.

2. The federation shall be non-political in nature.

3. For the purpose of attaining the objectives mentioned above, the Federation shall:

    (a) Safeguard, on an international basis, the common interests of the motion picture industry and encourage its development;

    (b) Conduct research and make efforts to solve, from an international point of view, any problem, whether juristic, economic, fiscal, technical, social or of any other nature whatsoever, which have a bearing on the motion picture industry;

    (c) Examine any issue, either directly or indirectly related to the motion picture industry, and take appropriate measures to deal with them;

    d) Maintain close liaison with other international organizations having similar objectives; promote the interchange of such information as is likely to assist in motion picture production or the adjustment of relationships generally between producers of different nationalities, and to promote the interchange of films produced by members of the FPA with films produced by other international film producers organizations and/or the solution of their problems relating to economy, materials, supplies and morals, of such other subject matter as shall, for the time being, concern motion picture production;

    (e) Procure the holding annually of the Film Festival of Asia-Pacific under the rules and regulations as set forth in Part II of this Constitution.

4. The official language of the Federation shall be English.


ARTICLE II -- MEMBERSHIP

Membership in the Federation shall be subject to the following conditions:

    (a) Membership shall be limited to a single representative association of motion picture producers from each of the countries or territories of Asia-Pacific, and shall be referred to in all meetings and actuation of the Federation by the name of their capital city/movie capital city.

    (b) Applications for membership shall be approved by a majority of the members of the Federation.

    (c) Members of the Federation shall enjoy rights and assume responsibilities and obligations on an equal basis.


ARTICLE III -- ORGANS OF THE FEDERATION

The organs of the Federation shall be the Board of Directors and the Secretariat.

 
ARTICLE IV -- BOARD OF DIRECTORS

1. The Board of Directors shall consist of the Directors, designated by the member cities or territory. The Presiding Officer shall be the Director from the Host City where the meeting is being held. The quorum shall consist of more than one-half of the members of the Board of Directors.

2. The Board of Directors shall be responsible for the implementation of the programmes it may adopt to carry out the objectives of the Federation as expressed in Article I hereof.

3. The Board of Directors shall be called into ordinary session at least once a year. However, at the request of the last Presiding Officer, or at least two Directors, a special meeting may be called to consider exceptional and/or urgent matters. For such special meetings where it would be impossible or inconvenient or no time to meet, a vote by mail may be authorized.

4. A director, in exercising his functions as such, shall act in the interests of the Federation as a whole and not in the interests of the participating organization of which he is a member.

5. The Board of Directors may, at its discretion, create special committees to attend to such matters as may be entrusted by the Board.

6. The Board of Directors may invite representatives of other international organizations or of motion picture interests of a country not a member of the Federation to attend its meetings as observers.


ARTICLE V -- SECRETARIAT

1. The Federation shall establish a Secretariat whose location shall be determined by the Board of Directors.

2. The Secretariat shall be composed of the secretary General and his staff.

3. The Secretary General shall be appointed by the Board of Directors and he shall perform such duties as may be from time to time required of him by the Federation and in particular, the Secretary General shall collate data and prepare agenda for the meetings of the Board of Directors and (if required) for such Committees as shall be appointed to enable these bodies to take appropriate steps thereon.

4. The Secretary General shall attend all sessions of the Board of Directors, and of other committees, but he shall not be entitled to a vote unless the Secretary General is also a director of the FPA.

5. In carrying out their duties, the Secretary General and his staff shall not take direct orders from any participating organization, nor shall any participating organization make any attempt to influence the Secretary General or his staff in the performance of their duties.



ARTICLE VI -- AMENDMENTS

The Constitution may be amended by the vote of at least two-thirds of the membership obtained at a session of the Board of Directors
